Carbon Markets & Advising

We’ve led over two dozen deals in the compliance and voluntary carbon markets, from the purchase and sale of carbon offsets, credit marketing, and project development agreements, to contracts with registry and rating providers.  We have drafted and negotiated Scope 3 carbon intervention and inset agreements, including co-claim agreements along product value chains and innovative agreements to lower emissions at the supplier level.

We counsel companies on compliance with California’s climate disclosure laws, including the Climate Corporate Data Accountability Act (S.B. 253), S.B. 261 (climate-related financial risk reporting), and A.B. 1305 (carbon offset disclosures).  Companies in the forest products, conservation, marine services, utility, oil and gas, and consumer product manufacturing sectors rely on Artemis Counsel to advise on these new disclosure regimes.

We have depth in the California cap-and-trade program, leading regulated entities and offset project operators through complex issues to ensure compliance and avoid litigation and enforcement.

Project Development, Finance, and M&A

We have permitted energy projects across California, including solar, wind, geothermal, and gas-fired facilities, as well as mixed use developments.  We handle all phases of project development, from environmental review under the California Environmental Quality Act (CEQA) and National Environmental Policy Act (NEPA), to obtaining entitlements and defending projects in litigation.

We’ve led environmental due diligence for the financing, sale and acquisition of 100+ energy and agricultural facilities nationwide.  Artemis Counsel delivers strategic advice on environmental and permitting exposure in transactions, negotiating favorable terms and mitigating risk.

Compliance Advice & Enforcement Defense

We counsel a wide range of companies in the commercial and industrial sectors on compliance with federal, California, and local GHG, air quality, and energy efficiency regulations.  We defend clients in administrative enforcement actions under brought by the California Air Resources Board (CARB), California Energy Commission (CEC), and local air districts, including Sacramento Metropolitan Air Quality Management District, San Joaquin Valley Air Pollution Control District, Santa Barbara County Air Pollution Control District, Bay Area Air Quality Management District, South Coast Air Quality Management District.  We’ve achieved satisfactory settlements for data centers, consumer product manufacturers, fuel suppliers, food processors, and other industrial facilities.

Allison Cook Smith founded Artemis Counsel in 2025.  For almost twenty years, Allison Smith has worked at the intersection of environmental, energy, and carbon law, representing large and small companies and organizations in California and across the U.S.

Allison specializes in crafting carbon offsets and inset deals in the voluntary and compliance markets and working with companies to develop carbon projects and interventions.  Allison also advises clients on compliance and regulatory matters related to carbon and air quality, and provides administrative enforcement defense.

For developers, Allison helps get projects permitted, through environmental review and related litigation, and financed.  Her portfolio includes solar, wind, biomass, geothermal, and gas-fired energy facilities, as well as mixed use developments.
